Terms & Conditions

1. About these Terms

These Terms form a binding agreement between you ("Client") and Zain Saeed, an independent senior WordPress and Shopify developer based in Lahore, Pakistan, operating as a sole proprietor under the name Zain Saeed.

For any commissioned project, these Terms apply in addition to the project quote / Statement of Work (SoW). Where a written SoW conflicts with these Terms, the SoW controls.

2. Services & Scope

Project scope, deliverables, milestones, timeline and pricing are agreed in a written quote signed off by both parties before any code is written. The Developer commits to:

• Reply within 24 working hours to any project enquiry.
• Deliver the scoped milestones on the agreed dates, subject to timely client feedback and access.
• Two rounds of feedback per design milestone, baked into the quote.
• Use senior-grade, production-quality code with no licensed obscure plugin chains or lock-in.
• Provide a documented hand-over so any other developer can continue the work.

3. Quotes & Pricing

All project quotes are fixed-price unless explicitly stated otherwise. The quote covers exactly the scope it names; out-of-scope requests are estimated and approved separately before they are started.

Hourly engagements are billed at the rate quoted in the SoW, in 30-minute increments, and the Client receives a weekly time report.

4. Payment

• Fixed-price projects: 50% on commission, 50% on launch, unless the SoW specifies milestone billing.
• Care plans: billed monthly in advance.
• Hourly engagements: billed monthly, payable within 14 days.
• Accepted methods: Wire (SWIFT), Wise, Payoneer, Stripe, USDT (TRC-20 / ERC-20).
• Invoiced in USD by default; other currencies on request.
• Late payment: 1.5% per month or the maximum legally permitted, whichever is lower. Work pauses if an invoice is more than 30 days overdue.

5. Client responsibilities

For the Developer to deliver on time, the Client agrees to:

• Provide hosting access, domain control, brand assets and content within the agreed dates.
• Reply to feedback requests within 5 working days, or accept that the timeline will shift.
• Hold rights to all content (text, images, video, fonts, code) provided to the Developer.
• Pay invoices on time per the schedule above.

6. Intellectual property

• Upon full payment, all custom code, designs, themes and content created specifically for the Client transfer to the Client as a "work made for hire".
• Third-party components (plugins, themes, fonts, libraries) remain governed by their own licences and are passed through to the Client at their listed cost.
• The Developer retains the right to (a) reuse generic code patterns, helpers and components in other projects, and (b) feature non-confidential, public-facing portions of the work in his portfolio unless a written NDA / non-disclosure agreement says otherwise.
• No part of the deliverable may be resold or distributed as a stand-alone product without explicit written permission.

7. Revisions, change requests & cancellation

• Two design rounds + one polish round are included in every fixed-price quote. Additional rounds are billed at a published flat rate per round.
• In-scope bug fixes during the active build phase are free.
• Out-of-scope change requests are quoted and approved separately.
• Either party may cancel a project with written notice. The Client pays for all work completed up to the cancellation date; the Developer delivers everything completed in its current form.

8. Warranty & post-launch support

30 days of post-launch bug-fix support is included on every fixed-price build, starting on the day of launch. This covers defects in the work the Developer delivered. It does not cover changes the Client (or a third party) makes to the code after launch, third-party plugin / app updates, or new features.

9. Confidentiality & NDAs

The Developer treats all non-public Client information as confidential by default. NDAs are welcome and signed before any sensitive material is shared. About a third of engagements run under NDA / white-label agency arrangements, and the Developer does not poach client relationships from agencies.

10. Limitation of liability

To the maximum extent permitted by law, the Developer's total liability for any claim arising from a project is capped at the total fees paid for that project in the preceding 12 months.

The Developer is not liable for indirect, consequential, special or incidental damages, including lost revenue, lost data, or business interruption. The Client is responsible for maintaining their own backups and disaster-recovery plan.

11. Third-party services

Deliverables often rely on third-party services (Shopify, WordPress core, hosting providers, payment gateways, app marketplaces, fonts, CDNs). The Developer does not control these services and is not liable for outages, policy changes, fee changes or security incidents originating from them.

12. Governing law & dispute resolution

These Terms are governed by the laws of the Islamic Republic of Pakistan. Disputes that cannot be resolved by good-faith negotiation will be submitted to binding arbitration in Lahore, Pakistan, conducted in English.

Where a client jurisdiction has mandatory consumer-protection laws (e.g. EU / UK / US), those laws apply where they offer greater protection than these Terms.

13. Use of the Site

• You agree not to use the Site for unlawful purposes, attempt to break or stress-test it, or scrape it in violation of robots.txt.
• All Site content (copy, design, code) is © Zain Saeed unless explicitly marked otherwise. You may quote short passages with attribution and a backlink; bulk reproduction requires written permission.
• The Site is provided "as is" and the Developer makes no warranty of fitness, availability, or accuracy.

14. Changes to these Terms

These Terms may be updated from time to time. Material changes will be flagged at the top of the page and on existing SoWs in writing; the "Last updated" date always reflects the most recent revision.
